corporate clients include companies in various sectors, and
the range of work in which the members of our Firm have been
engaged includes routinely advising our clients on the legal
aspects of domestic mergers acquisitions and takeovers, as
well as the raising of equity capital and debt finance,
and on commercial agreements relating to agency, distribution,
franchising, licensing, manufacturing, leasing, hire-purchase
and construction. The range of work in which the
members of our Firm have been engaged also covers the
ever-increasing range of capital markets products, the
securitisation of mortgage portfolios, Stock Exchange
floatation, and all types of primary and secondary issues of
securities and advising
on the formation and functioning of companies and
partnerships, including but not limited to the establishment
of one of the very first venture capital companies following
negotiations with the Asian Development Bank at Manila and one
of the very first modarabas in Pakistan, transactions
involving joint ventures, the purchase, sale and financing of
companies and businesses, the development of capital projects
and corporate reorganisations.
As
such, we are able to render advise on transactions
involving business acquisitions, leveraged buy-outs, public or
private takeovers, mergers, demergers or reorganizations and
joint ventures and are able to render effective advice on all
aspects relating thereto including transaction organisation,
management and documentation, legal risk management (due
diligence and warranties) regulatory, financing and employment
issues,
joint ventures and strategic alliances, and regulatory
investigations; advise banks, insurers, brokers, asset
managers, investment banks and securities exchanges on a broad
range of transactions, product development, regulation and
structural issues; advising on management buy-outs and
buy-ins, leveraged buy-outs and exit strategies; assisting in
the addressing of challenges posed by multi-creditor
restructuring and rescheduling operations; advising
prospective lessors and lessees of risks which arise when
entering a leasing facility, and prepare standard form
documentation covering master finance leases, standard finance
leases, operating leases, hire purchase agreements and
conditional sale agreements.
